Terms governing paid programming consulting engagements offered by API Anchor Consulting.

Parties

Services
We provide paid programming consulting focused on API design and third-party integration. Each engagement is defined in a written statement of work (SOW) or proposal email that lists deliverables, assumptions, and fees. Website copy is informational and does not by itself create a contract.
Fees and payment
Fees, currency (typically THB), and payment milestones are specified in the SOW. Invoices are due within fourteen calendar days unless otherwise agreed. Late amounts may pause work until brought current.
Client responsibilities
You will provide timely access to documentation, sandboxes, stakeholders, and decisions needed for integration work. Delays caused by missing access may shift timelines.
Intellectual property
Unless the SOW states otherwise, you own deliverables created specifically for you upon full payment. We retain pre-existing tools, libraries, and general know-how.
Confidentiality
Each party will protect the other’s non-public technical and business information disclosed during an engagement.
Warranties and liability
Consulting services are provided with professional skill. Except where prohibited by Thai law, our aggregate liability arising from an engagement is limited to the fees paid for that engagement in the three months preceding the claim.
Governing law
These terms are governed by the laws of Thailand. Courts in Bangkok have non-exclusive jurisdiction.
Changes
We may update these website terms; the version in force is the one dated on this page. Active SOWs prevail over website terms where they conflict.
